1. Acceptance of Terms
By registering for, accessing, browsing, or using Nexus Wizard, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Use and our Privacy Policy.
During the registration process, you will be required to explicitly confirm your acceptance by selecting a checkbox stating: "I agree to the Terms of Use and Privacy Policy." This form of clickwrap agreement constitutes a legally binding acceptance under applicable law.
Your acceptance is recorded and timestamped for audit purposes. If you do not agree to these Terms, you may not access or use Nexus Wizard.
2. Registration and Account Security
- To access certain features of Nexus Wizard, you may be required to register for an account. You must provide accurate, current, and complete information during the registration process.
- You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You are responsible for all activities that occur under your account.
- You agree to notify us immediately of any unauthorised use of your account or any other breach of security.
- You must not use anyone else's account without their permission.
- You are solely responsible for maintaining the security of your account. North Star Counselling and Therapy Limited shall not be liable for any loss or damage arising from your failure to keep your login credentials confidential or from any unauthorised access resulting from your negligence. We strongly recommend that you use a strong, unique password and enable two-factor authentication (where available).
3. Use of Nexus Wizard
Eligibility:
To register a provider account with Nexus Wizard, you must possess professional therapist qualifications or be in recognised training. By using the service, you confirm and guarantee that you meet the necessary professional therapist requirements.
License:
North Star Counselling and Therapy Limited grants you a limited, non-exclusive, non-transferable, and revocable license to use Nexus Wizard solely for your professional use as a mental health care practitioner. You may not sublicense, distribute, modify, or create derivative works based on Nexus Wizard.
You retain full ownership of all treatment notes, psychometric assessments, treatment plans, and other practitioner-generated content you input or create using Nexus Wizard. By using the platform, you grant North Star Counselling and Therapy Limited a limited, non-exclusive license to store and process this content solely for the purpose of delivering the service to you, in accordance with applicable data protection laws.
User Content:
You are solely responsible for any content you submit, upload, or display on Nexus Wizard. You agree that any user-generated content complies with applicable laws and regulations and does not infringe on the rights of third parties.
Prohibited Activities:
You agree not to:
- Use Nexus Wizard for any unlawful, discriminatory, or fraudulent purposes, including content that violates data protection or professional conduct requirements.
- Interfere with or disrupt the integrity or performance of Nexus Wizard.
- Attempt to gain unauthorised access to any part of Nexus Wizard or its related systems or networks.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of Nexus Wizard.
- Submit, upload, or share any content that is false, misleading, harassing, abusive, defamatory, or otherwise harmful to clients or other users, including any content that violates professional codes of ethics or applicable laws related to this practice.
Content Monitoring and Enforcement:
North Star Counselling and Therapy Limited reserves the right, but does not assume the obligation, to monitor any content submitted to Nexus Wizard. We may review, remove, restrict, or disable access to any content that, in our sole discretion, violates these Terms, applicable law, or professional codes of conduct.
If we take action to remove content or restrict your access based on such concerns, we will notify you in writing (by email or via the platform) with a summary of the reason for the action.
You will have the right to appeal such decisions by responding to the notice within 15 days, providing relevant context or explanation. Appeals will be reviewed by an internal moderator or compliance officer not involved in the original decision. We will provide a written response to your appeal within a reasonable timeframe (typically within 14 business days).
In urgent cases involving serious risk to client safety, data integrity, or legal compliance, we may act without prior notice, but will inform you as soon as reasonably possible afterward and provide an appeal process as above.
Data Security:
You agree to protect the privacy and confidentiality of any patient or client information you input into Nexus Wizard, ensuring compliance with all applicable data protection laws and regulations.
Third-Party Access for Tech Support:
In certain technical support circumstances, Nexus Wizard support staff located in India may be granted restricted, time-bound access to limited account data. [V6]No identifiable client personal data shall be accessed unless expressly authorised by the Subscriber, with documented client consent. All such access will be logged and may be audited by the Subscriber. We will notify you when identifiable client data is accessed for support and will make access logs available to you upon request.
4. Disclaimer of Warranties
Nexus Wizard is provided "as is" and "as available" without warranties of any kind, either express or implied. North Star Counselling and Therapy Limited does not provide clinical, diagnostic, or therapeutic advice and is not a healthcare provider. All use of the software, including psychometric assessments and treatment notes, is at the discretion of qualified practitioners. The provider has no responsibility or liability for any decisions, actions, or care provided based on the use of the software.
5. Pricing and Price Changes
Subscription Plans:
Nexus Wizard offers various subscription plans to cater to the diverse needs of our users. The plans have a monthly subscription fee per practitioner. The pricing details for each plan can be found on our website or within the application. By subscribing to any of our plans, you agree to abide by the terms and conditions outlined in this policy.
Billing Cycle:
Users will be billed according to the billing cycle they have selected during the subscription process. The specific billing dates for each user will depend on their subscription start date.
Payment Methods:
When you subscribe to a paid version of Nexus Wizard, you consent to pay applicable fees using the payment methods made available by Nexus Wizard at any given time.
Price Changes:
Nexus Wizard reserves the right to change the pricing of its subscription plans and features at any time. However, we are committed to providing our users with notice of any price changes. Users will be notified of any upcoming price changes via email or through the application at least 30 days before the changes take effect.
Grandfathered Pricing:
If you are on an annual subscription plan, the price you pay at the time of subscription will remain unchanged for the duration of that annual subscription, subject to the terms and conditions of your subscription, including payment of the annual subscription fee.
Promotional Pricing:
Nexus Wizard may offer promotional pricing for new users or for a limited time. Such promotions are subject to change or termination at Nexus Wizard's discretion.
Taxes:
All prices displayed on the Nexus Wizard website and within the application are exclusive of any applicable taxes. Users are responsible for paying any applicable taxes associated with their use of the service. North Star Counselling and Therapy Limited will collect and remit applicable taxes as required by law.
No Refunds:
Nexus Wizard does not offer refunds for subscription fees. If you choose to cancel your subscription, you will not be eligible for a refund for any unused portion of your subscription. This does not affect your statutory rights under consumer protection legislation, where applicable.
Exceptions to No Refund Policy:
If you terminate your subscription, due to a material change to these Terms and you do not accept the changes, by providing written notice within thirty (30) days of receiving notice of the change. In such cases, you will be entitled to a pro-rata refund of any prepaid subscription fees covering the remaining period of your current billing cycle.
Trial Periods:
Nexus Wizard may offer trial periods to new users. The terms of any trial period will be clearly stated during the sign-up process. At the end of the trial period, you will be automatically billed for the subscription plan you selected unless you cancel your subscription before the trial period expires.
Termination for Non-Payment:
Failure to pay subscription fees promptly may result in the suspension or termination of your Nexus Wizard account. Failure to pay within 7 days of the due date may result in account suspension.
By using Nexus Wizard, you acknowledge that you have read, understood, and agreed to the pricing and price change terms outlined in this section. It is your responsibility to review these terms periodically for any updates or changes. If you do not agree with these terms, please discontinue your use of Nexus Wizard.
6. Termination
Termination by You:
You may terminate your Nexus Wizard account at any time by sending an email to hello@nexuswizard.com with a 30-day notice. You may download your client data at any time before account closure. After account closure, data may be deleted in line with our data retention policy.
Termination due to material changes:
If we materially amend these Terms and you do not accept the changes, you may terminate your subscription by providing written notice within thirty (30) days of receiving notice of the change.
Termination by North Star Counselling and Therapy Limited:
North Star Counselling and Therapy Limited may terminate or suspend your access to Nexus Wizard in the event of (a) a material breach of these Terms that remains uncured after notice, (b) non-payment of fees after reasonable notice and an opportunity to cure, or (c) where termination is required by law or regulatory action. Except in urgent circumstances (such as a security or privacy incident), we will provide reasonable advance notice (for example, 30 days) and an opportunity for you to remedy the breach before termination.
Effect of Termination:
Upon termination of your account, your access to Nexus Wizard will cease, and any data associated with your account may be deleted, subject to our data retention policies. Metadata and system logs may be retained for security, audit, or legal purposes in accordance with our data retention policy.
Sections of these Terms that by their nature should survive termination (such as Intellectual Property, Dispute Resolution, and Governing Law) will continue to apply.
7. Intellectual Property
Ownership
:
All content and materials provided through Nexus Wizard, including but not limited to text, graphics, logos, images, software, and any other intellectual property, are the property of North Star Counselling and Therapy Limited or its licensors and are protected by intellectual property laws.
Use of Intellectual Property:
North Star Counselling and Therapy Limited grants you a limited, non-exclusive, non-transferable license to use the intellectual property provided through Nexus Wizard solely to use the service. You may not reproduce, distribute, modify, or create derivative works from our intellectual property without explicit written permission.
8. Limitation of Liability
To the fullest extent permitted by law, North Star Counselling and Therapy Limited shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, arising out of the use or inability to use Nexus Wizard.
Nothing in these Terms shall exclude or limit our liability where it would be unlawful to do so. This includes liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Breach of data protection obligations under UK GDPR where such liability and Data Protection Act 2018, where such liability cannot be lawfully excluded.
We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, internet outages, third-party service disruptions, or regulatory changes.
9. Changes to Terms
North Star Counselling and Therapy Limited may update these Terms from time to time without prior notice. We will post the revised Terms on this page, and the date of the latest revision will be indicated at the top of this document.
We may update these Terms from time to time. Where changes are material, we will notify you in advance and request your explicit acceptance. For non-material updates, we will notify registered users through their registered email address.
Your continued use of Nexus Wizard after the revised Terms become effective constitutes your acceptance of the changes.
If you do not accept the updated Terms due to material change, you may terminate your subscription by providing written notice within thirty (30) days of receiving notice of the change. In such cases, you will be entitled to a pro-rata refund of any prepaid subscription fees covering the remaining period of your current billing cycle.
10. Dispute Resolution and Governing Law
Governing Law:
These Terms shall be governed by and construed in accordance with the laws of Scotland. Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.
Alternative Dispute Resolution:
Before initiating any formal legal proceedings, you and North Star Counselling and Therapy Limited agree to make reasonable efforts to resolve any disputes or claims informally through good-faith negotiations or alternative dispute resolution methods, such as mediation.
11. Data Protection and Confidentiality
11.1 Data Controller and Processor Roles
The Subscriber is the Data Controller of any personal data (including special category data) entered into the Nexus Wizard. North Star Counselling and Therapy Limited acts as a Data Processor, processing such data solely on behalf of and under the instructions of the Subscriber, in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act, 2018.
11.2 Data Hosting and Transfers
All client data is stored securely on servers located in the UK and/or the European Union. Under no circumstances are data transfers made outside UK/EU regions unless (a) required for technical support purposes and (b) explicitly authorised by the Subscriber via documented consent, ensuring all clients have given informed consent if data is accessed from a third country (e.g., India).
11.3 Data Security
We implement appropriate technical and organisational measures to protect personal data against unauthorised access, misuse, or loss. This includes encryption at rest and in transit, access logging, and periodic security reviews.
11.4 Data Processing Agreement (DPA)
Subscribers acknowledge and agree to the Nexus Wizard Data Processing Agreement, which supplements these Terms and governs all aspects of personal data handling. A copy of the DPA is available [insert link] or upon request.
11.5 Data Confidentiality
You agree to protect and maintain the confidentiality of any client data uploaded to the platform and to comply with your professional and legal obligations under applicable health and data protection laws.

13. Local Law and Consumer Rights
Nothing in these Terms is intended to exclude or limit any rights you may have under applicable consumer-protection, health-care or professional-practice laws in your jurisdiction.
If you use Nexus Wizard outside the United Kingdom, you are responsible for complying with any local laws that apply to you. North Star Counselling and Therapy Limited will comply with any mandatory legal requirements in other jurisdictions provided they do not conflict with the Scottish law.[V9]
